1.      TERMS AND CONDITIONS – MAKING-A-DIFFERENCE NPC

a.Hereinafter Making-A-Difference NPC (2024/651293/08) shall be referred to as the “SERVICE”. Participants of this “SERVICE” shall be referred to as the “PARTICIPANT”, which includes all visitors and contributors. These terms and conditions shall be referred to as the “AGREEMENT”.

2.      COMMUNICATING ELECTRONICALLY

a.The PARTICIPANT of this SERVICE consents to receive communications electronically and agrees that all AGREEMENTS, notices, disclosures, and other communications sent by the SERVICE satisfy all legal requirements, including but not limited to, the requirement that communications be in writing.

3.      DOMICILIUM

a.The SERVICE email and postal address for all correspondence is connect@making-a-difference.co.za and postal address Postnet Suite 096 bag x1037, Germiston, 1400, Gauteng.

4.      GUARANTEE OF “SERVICE”

a.Making-A-Difference NPC may from time to time use marketing companies or independent contractors to promote the SERVICE and Making-A-Difference NPC therefore takes no responsibility for any person or company implying a guarantee of the SERVICE whether written or otherwise.

5.      HYPERLINKS

a.Any person, business, or the SERVICE may link to any page on this SERVICE without the prior written permission of Making-A-Difference NPC. Hyperlinks provided on this SERVICE are provided “as is” and Making-A-Difference NPC does not necessarily agree with, edit, or sponsor the content on such web pages.

6.      INTELLECTUAL PROPERTY RIGHTS

a.All the content on this SERVICE, including but not limited to, graphics, software, databases, icons, and AGREEMENTS, are the property of or licensed to Making-A-Difference NPC and as such are protected from infringement by local and international legislation and treaties.

7.      LEGAL

a.The PARTICIPANT agrees that no legal reason exists for Making-A-Difference NPC to refuse the SERVICE to the PARTICIPANT, and the PARTICIPANT will not use the SERVICE for any illegal, immoral, or injurious purposes. Making-A-Difference NPC reserves the right to remove any such material from the SERVICE.

b.This AGREEMENT is governed by the laws of the Republic of South Africa. If any term is declared illegal or unenforceable, it will be removed without affecting the remaining terms.

c.The PARTICIPANT agrees to all terms, conditions, and restrictions that Making-A-Difference NPC may publish and is responsible for regularly reviewing the AGREEMENT. Continued use of the SERVICE constitutes consent to any changes.

8.      LIABILITY / INDEMNIFICATION

a.The PARTICIPANT indemnifies and holds Making-A-Difference NPC, its officers, employees, and affiliates harmless from any loss, claims, expenses, or liability (including negligence) arising from: (i) use of the SERVICE; (ii) interactions with listed organizations; or (iii) reliance on platform content. Making-A-Difference NPC is not liable for direct, indirect, or consequential damages (e.g., lost profits) from SERVICE use or linked websites.

b.While Making-A-Difference NPC strives for accuracy, it cannot accept responsibility for errors and omissions. The PARTICIPANT indemnifies Making-A-Difference NPC against any claim by third parties arising from the design, content, or other attributes of any advertisements, including infringement of intellectual property rights.

9.      PRIVACY OF THE “PARTICIPANT”

a.Please refer to our Privacy Policy.

10. TERMS AND TERMINATION

a.Making-A-Difference NPC may terminate access to all or parts of the SERVICE and/or any related service at any time, with or without notice, with or without cause, effective immediately, for any reason whatsoever. This AGREEMENT shall commence when the PARTICIPANT visits/views or registers on the Making-A-Difference NPC SERVICE and shall continue indefinitely until terminated by Making-A-Difference NPC or by the PARTICIPANT.

11. SPECIAL OFFERS OR DISCOUNTS

a.Making-A-Difference NPC reserves the right to amend or change any offerings or discount at its own discretion and such changes shall be effective immediately.

12. PARTICIPANT CONDUCT & USE OF THIS SERVICE

a.Opinions and information provided on the SERVICE are not professional advice. PARTICIPANTS should consult professionals before taking any action. The SERVICE is provided “as is” and does not meet individual requirements.

b.Making-A-Difference NPC provides advertising but is not involved in the sale or purchase of goods/services on the SERVICE. Any disputes should be addressed between the PARTICIPANT and the advertiser. Making-A-Difference NPC is not responsible for the legality or existence of products/services listed.

c.The PARTICIPANT’S use of the SERVICE constitutes acceptance of these terms.

d.Users of this platform are solely responsible for conducting their own due diligence before engaging with any listed organization, including verifying legitimacy, credibility, and suitability. As stated in Section 16(j), users must conduct independent due diligence before engaging with listed organizations.

13. E-COMMERCE AND TRANSACTIONS

a.Participants engaging in transactions on the SERVICE must provide accurate and complete information. Refunds, cancellations, and any other transaction-related inquiries must be directed to connect@making-a-difference.co.za.

14. USER-SUBMITTED CONTENT

a.Participants who submit content, including images and articles, to the SERVICE are responsible for ensuring they have the rights to use and share such content.

b.The SERVICE reserves the right to remove any content that violates copyright laws or the SERVICE’s policies. Please refer to our Image Policy.

15. DATA PRIVACY

a.Please refer to our Privacy Policy for detailed information on how we collect, store, and use personal data.

b.The SERVICE complies with South Africa's Protection of Personal Information Act (POPIA).

16. ELEVATE AND COLLABORATE PLATFORMS

Making-A-Difference NPC’s Elevate and Collaborate Platforms are designed to showcase and support projects, businesses, and good causes. By participating in these platforms, PARTICIPANTS acknowledge the following:

a.Project and Directory Listings: All listings are vetted to ensure alignment with our objectives. Listings include logos, images, contact details, and a description. Making-A-Difference NPC reserves the right to approve or reject listings.

b.Initiatives Needing Attention: Participants can inform us of initiatives that need support. Recommendations are welcomed.

c.PARTICIPANTS can also support projects via advertising sponsorships, subject to approval.

d.SEO and Promotion: Listings may include SEO backlinks to increase visibility. PARTICIPANTS agree to promote their listings in a manner consistent with our values.

e.Direct Contact and Interactions: Visitors can contact listed entities directly. Making-A-Difference NPC is not responsible for interactions or transactions between PARTICIPANTS and visitors. Making-A-Difference NPC is not responsible for any interactions, transactions, or agreements between users of this platform and listed organizations. We are not liable for any damages, losses, or disputes arising from such interactions. Users agree to indemnify Making-A-Difference NPC (per Section 8) for disputes arising from interactions with listed organizations.

f.Use of Funds: Funds generated are applied to core operational and project costs. We ensure these funds are used efficiently and in compliance with all laws and regulations.

g.Refund Policy: Advertising fees and sponsorships are non-refundable.

h.Transparency and Accountability: We commit to providing transparent and accurate information about projects and listings. PARTICIPANTS can contact us for further details.

i.Participant Conduct: PARTICIPANTS are expected to engage in a manner consistent with our objectives and values. Misuse or inappropriate conduct may result in removal.

j. All listings on our Collaborate Platform are for advertising purposes only and do not imply affiliation, endorsement, or partnership with Making A Difference NPC. Making A Difference NPC does not vet, monitor, or verify the activities, practices, or claims of listed organizations. Users are solely responsible for conducting due diligence before engaging with any listed organization. Making-A-Difference NPC is not liable for any interactions, transactions, or disputes between users and listed entities. As outlined in Section 12(d), users must independently verify the legitimacy of listed organizations.

 

k. While Making-A-Difference NPC conducts due diligence to vet listed organisations, we cannot guarantee the complete legitimacy or integrity of every organisation or individual involved. We are not liable for any fraudulent, criminal, or unethical actions undertaken by third party organisations listed on our platforms. Users are responsible for conducting their own due diligence when supporting listed organisations. We reserve the right to remove any organisation found to misrepresent its activities, and we may report such activities to relevant authorities.

 

17. DONATIONS AND SPONSORSHIPS

a.Nature of Donations and Sponsorships: Donations and sponsorships support our objectives and can be made anonymously. Once-off or recurring options are available.

b.Anonymous Giving: Participants can give anonymously to avoid public recognition pressures.

c.Use of Funds: All funds are applied to core operational and project costs, in line with necessary laws and regulations.

d.Transparency and Accountability: We provide detailed reports and updates on funded projects upon request.

e.Refund Policy: Donations are non-refundable.

18. VISIBILITY PARTNERS (FOUNDING 100) AND CORPORATE ADVERTISERS

a.No Guarantee of Future Involvement: While Making-A-Difference NPC values the input of its Founding Partners and Corporate Advertisers , there is no guarantee that invitations for feedback or voting will be extended regularly or at all. Making-A-Difference NPC reserves the right to manage its programmes, activities and strategic decisions as it deems appropriate. Visibility Partners and Corporate Advertisers acknowledge that their financial support does not confer decision-making authority or influence over Making-A-Difference NPC’s operations, unless explicitly agreed in writing.

b.Exclusive Benefits and Advertising Content: Launch Partners and Corporate Advertisers may receive benefits like enhanced visibility and networking opportunities. Advertising content must align with our objectives and values, and are subject to our express approval.

c.Use of Funds: Funds from advertising are applied to core operational and project costs, in compliance with laws and regulations.

d.Refund Policy: advertising and sponsorships fees are non-refundable.

e.Transparency and Reporting: We commit to providing transparent information about the impact of contributions. Reports are available upon request.

f.Participant Conduct: All participants must engage in a manner consistent with our mission and values. Misuse or inappropriate conduct may result in removal.

19. DISCLAIMER AND LIABILITY FOR INFORMATIONAL CONTENT

a.General Disclaimer: Content on the SERVICE is for educational purposes. Accuracy, completeness, or reliability is not guaranteed.

b.Professional Advice: Content should not be considered professional advice. Participants should consult professionals before taking action.

c.User Responsibility: Participants are responsible for their own use of the information provided. Making-A-Difference NPC is not liable for actions taken based on the content.

d.Third-Party Content: We are not responsible for third-party content linked from the SERVICE.

e.Content Changes: We may modify or remove content at any time without notice.

f.Copyright and Intellectual Property: All content is protected by copyright laws. Unauthorized use is prohibited.
